Migrating Licensing Contracts

--- BEFORE STARTING LICENSING CONTRACTS SHEET TAB ---

  • Navigate to the sheet tab at the bottom of the Excel titled 'Licensing Contracts.'

  • Please make sure all levels of 'Product Categories' and 'Subcategories,' such as 'Apparel > Socks > Men’s Socks' are included.

  • For a licensing contract that includes an agency, enter the 'Representation Contract Number.'

  • For Amendments choose 'Amendment' as the 'Type,' and enter the original contract number under 'Parent Contract Number.'

  • For Columns with parentheses, only use those values within them.

Licensing Contracts Sheet Tab

Contract Number

  1. A unique identifier for each contract.

  2. For Amendments: Add '-1,' '-2,' '-3,' etc. at the end of the contract number. 

  3. Example: If the original contract number is '000001' use '000001-1' for the first amendment, '000001-2' for the second, etc. 

Contract Name

  1. Title of the contract.

Properties 

  1. The intellectual property involved in this contract.

  2. Formatting: Separate each property by a comma, 

Property Owner Name

  1. The intellectual property owner’s company name involved in this contract.

Send Invite? (Yes/No)

  1. Should the property owner receive an email invitation to Brainbase?

  2. If No, add 'No.' Do not leave blank or add 'N/A.'

Property Owner Email

  1. The email address of the intellectual property owner.

  2. Fill only if the previous value was 'Yes.'

Licensee Name

  1. The company name of the licensee involved in this agreement. 

Send Invite? (Yes/No)

  1. Should the licensee receive an email invitation to Brainbase?

  2. If No, add 'No.' Do not leave blank or add 'N/A.'

Licensee Email

  1. The email address of the licensee.

  2. Fill only if the previous value was 'Yes.'

Direction (Outbound/Inbound)

  1. Outbound: Licensing out of your property/rights to your property (i.e. owner/licensor). 

  2. Inbound: Licensing in rights to a property (i.e. licensee).

Type (Licensing, Amendment)

  1. Licensing: Is this an entirely new licensing agreement? 

  2. Amendment: Or is this an amendment to an existing agreement/contract? 

Contract Start Date

  1. What is the effective start date of this contract?

  2. Format: (mm/dd/yyyy)

Contract End Date

  1. What is the effective end date of this contract?

  2. Format: (mm/dd/yyyy)

Renewal Date

  1. Will the contract renew after the initial contract period? 

  2. If yes, enter the renewal end date.

  3. Format: (mm/dd/yyyy)

Renewal Notice (Days)

  1. How many days in advance should you receive a notification to renew the contract? 

  2. Fill this only if the contract has a renewal date.

Contract Sell Off Days 

  1. How many days after the end of the contract does the Licensee have to sell off their remaining inventory?

Deduct Sales during sell-off period against minimum guarantee? (Yes/No)

  1. Will the sales during the sell-off period count towards a minimum guarantee?

  2. Fill this only if the contract has a sell-off period.

Currency

  1. What is the currency of this contract?

  2. Example: For United States, write 'USD.'

Categories 

  1. List the categories that this contract permits sales in.

  2. Category Tree: Parent category followed by subcategories.

  3. Formatting: {Parent category} + ' > ' + {subcategory 1} + ' > ' + {subcategory 2} 

  4. Example: 'Apparel > Socks, Apparel > Headwear > Hats.'

  5. The category names provided have to be an exact match to category names within Brainbase including the parent category name(s) or to your custom category list. 

Territories 

  1. Formatting: Separated by a comma with no spaces

  2. List the territories that this contract permits sales in

  3. For territory names, please use ISO 3166-1 alpha-3 code found here:

  4. EX: 'USA,CAN,DEN,SWE.'

Distribution Channels

  1. Formatting: Separate each distribution channel by a comma.

  2. List the distribution channels that this contract permits sales in.

  3. The distribution channel names provided have to be an exact match to distribution channel names within Brainbase, including the parent channel name(s) or to your custom distribution channel list.

  4. EX: 'Online, Retail.'

Royalty Deductions – Single (% of gross sales)

  1. What is the deduction limit for returns and discounts? 

  2. Brainbase will automatically apply the correct limit and ignore deductions that go over the limit from royalty calculations. 

  3. Fill this only if you have a single limit for both returns and discounts. 

Deductible Returns – Separate (% of gross sales)

  1. What is the deduction limit for returns? 

  2. Brainbase will automatically apply the correct limit and ignore returns that go over the limit from royalty calculations. 

  3. Fill this only if you have a separate limit for returns and discounts.

Deductible Discounts – Separate (% of gross sales)

  1. What is the deduction limit for returns? 

  2. Brainbase will automatically apply the correct limit and ignore returns that go over the limit from royalty calculations. 

  3. Fill this only if you have a separate limit for returns and discounts.

Reporting Frequency (Annual, Bi-Annual, Quarterly, Monthly)

  1. How often are licensees required to report sales to the licensor for this contract?

  2. Typically found within the Accounting section 

First Report Start Date 

  1. When does the first sales report period start (mm/dd/yyyy)? 

  2. Example: If the first reporting period is Q1 2019, the first report start date should be Jan 1, 2019

  3. Formatting: (mm/dd/yyyy) 

Report Due (Days) (Grace Period)

  1. How many days does the licensee have to submit each sales report to the licensor?

  2. 'Report Due Date' is calculated based on the entered amount of days starting from the last day of each reporting period.

  3. Typically found in the Accounting section.

Submissions Review Period (Days)

  1. How many days after the submission is submitted for approval does the licensor has to review the submission. 

Parent Contract Number (Amendments Only)

  1. If this contract is an amendment, what is the contract number (unique identifier) of the parent contract that it is amending?

Representation Contract Number (Licensing Contracts that include an agency)

  1. If this contract is the result of agent representation or falls under a broader representation agreement, what is that representation contract number?
